Terms of Service

1. Nature of Services

Donor Dinners is a flat-fee event production and donor outreach service operated by Astronomic, LLC ("Astronomic," "we," "us," or "our"). We organize private philanthropic dinner events designed to connect nonprofit organizations and charitable foundations ("Clients") with high-net-worth and ultra-high-net-worth philanthropists ("Donors").

Astronomic is not a broker-dealer, fundraising counsel, or professional solicitor as defined under any applicable state or federal law. We do not solicit donations on behalf of Clients, and we do not receive any commission, fee, or compensation based on the amount of donations raised at or following any Donor Dinner event.

2. No Guarantee of Donations

Astronomic makes no representation, warranty, or guarantee that any Donor Dinner will result in any specific level of philanthropic donations, donor commitments, or follow-on relationships. The success of any fundraising effort following a Donor Dinner is entirely dependent on factors outside Astronomic's control, including but not limited to the Client's mission, presentation, and follow-up efforts.

3. Flat Fee & Payment Terms

The base service fee is $15,000 (USD), payable in full at the time of booking via credit card through our secure Stripe checkout. Additional optional services may be added at checkout for additional fees as disclosed at the time of booking. All fees are non-refundable except as expressly stated in Section 4 below.

4. Cancellation & Refund Policy

Cancellations made more than 30 days prior to the scheduled event date are eligible for a full refund, less a $500 administrative processing fee. Cancellations made within 30 days of the event date are non-refundable. In the event that Astronomic is unable to produce the event due to circumstances within our control, we will issue a full refund.

5. Right to Refuse Service

Astronomic reserves the right, in its sole and absolute discretion, to refuse service to any organization or individual for any reason, including but not limited to: concerns about the legitimacy of the organization, reputational risk, conflict of interest, or failure to meet our qualification criteria. In the event we exercise this right after payment has been received, we will issue a full refund.

6. Donor Approval Process

Clients retain the right to approve or reject individual donor prospects before formal invitations are extended. Astronomic will present a curated lead list for Client review. Clients must respond to approval requests within the timeframe specified by Astronomic. Unanswered requests may be treated as approvals at Astronomic's discretion to maintain event timelines.

7. Confidentiality

Astronomic treats all Client information, donor prospect data, and event details as confidential. We will not disclose Client information to third parties except as necessary to produce the event (e.g., venue partners, catering, photography) or as required by law. Clients agree to maintain the confidentiality of any donor contact information provided by Astronomic.

8. Intellectual Property

All event photography, video, and written content produced by Astronomic or its contractors in connection with a Donor Dinner event is jointly owned by Astronomic and the Client. Each party may use such materials for their own promotional purposes. Astronomic retains the right to reference the event in its own marketing materials, subject to Client approval of any specific content that identifies the Client by name.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Astronomic's total liability to Client for any claim arising out of or relating to these Terms or the services provided shall not exceed the total fees paid by Client for the specific event giving rise to the claim. In no event shall Astronomic be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

11. Entire Agreement

These Terms, together with any order confirmation or statement of work provided at the time of booking, constitute the entire agreement between Astronomic and Client with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.
